› Common stock: ownership, voting, and the liquidation line

The plain-English version

A share of common stock is a slice of ownership in a company. Owners get the upside, and stand last in line, which is why common stock is called the most junior security.

The trapCommon dividends are never guaranteed: the board declares them or it doesn't.

About the exam

What is the SIE exam?

The Securities Industry Essentials exam, usually shortened to the SIE, is FINRA's introductory securities exam. It tests the basics every industry professional is expected to know: the products (stocks, bonds, options, funds), their risks, how the markets and their regulators work, and the practices that are prohibited.

It is deliberately open. Anyone 18 or older can register and sit the SIE, with no firm sponsorship and no industry experience. That makes it the standard way for students and career changers to signal serious interest to employers before they are hired. A passing result stays valid for four years.

The SIE alone does not license you to sell securities. It pairs with a "top-off" exam, most commonly the Series 7, which you take after a member firm hires and sponsors you. Passing the SIE first shortens that later climb considerably.

How the SIE exam is structured

The exam has 75 scored multiple-choice questions with a 1 hour 45 minute limit, and a passing score of 70. Questions are spread across four sections, weighted as shown here, and our course mirrors those weights lesson for lesson, so your study time lands where the marks are.

How hard is the SIE exam?

The material is genuinely introductory, but the exam is famous for answer choices designed to catch people who almost know the rule. That wording, not the concepts, is what fails most candidates, and it is exactly what our "Here's the trap" callouts drill. With consistent study, most of our students are ready in 4 to 8 weeks. The free 20-question diagnostic will tell you where you are starting from.
